Terms of Service
These Terms of Service govern your use of the website operated by DC Sox Baseball, Inc. and the ballpark electronics services the company provides. Please read them carefully. The company is located at 217 Cottonwood Dr, Centerville - 84014-1212, United States (US) and can be reached at tech@lopaltech.autos or by phone at +19309058086. By using this website or engaging the company for a project, you agree to these terms. The developer name DC Sox Baseball identifies the group that maintains this website on behalf of the company.
1. Acceptance of Terms
By accessing this website, submitting a request through the contact form or engaging DC Sox Baseball, Inc. for services, you accept these Terms of Service in full. If you do not agree with any part of these terms, please do not use the website or engage the company. The company may update these terms from time to time, and the effective date at the top of the page shows the current version.
These terms apply together with any written scope, quote or project agreement that the parties sign for a specific job. If a signed project agreement conflicts with these terms, the signed agreement controls for that job.
2. Definitions
In these terms, the company means DC Sox Baseball, Inc. The client means the person or organization that uses the website or engages the company. The website means the pages served under lopaltech.autos. Services means the ballpark electronics design, install, repair and maintenance work described on the services page. Project documents means quotes, drawings, cable schedules, handover cards and related records.
3. Eligibility and Authority
The website is intended for adults and for representatives of parks, schools, leagues and facilities. By submitting a request, you confirm that you are at least the age of majority in your region and that you have authority to act for the organization you name. If you submit a request on behalf of a client, you confirm that the client has authorized you to share the information in the request.
4. Permitted Use of the Website
You may read, download for reference and print pages from this website for legitimate business purposes connected to the services. You may not copy the site content into another website, remove ownership notices, scrape the site at a rate that harms its availability, attempt to access restricted areas or use the site to distribute unlawful, harmful or misleading material.
The company may block access to any visitor who abuses the site. Blocking access is a reasonable step to protect the shop and its clients, and it does not limit any other remedy available to the company.
Automated tools may index the public pages in a standard, respectful way. A tool that copies the site for republication, that ignores a request to stop, or that places an unreasonable load on the server is not permitted. The company reserves the right to set technical limits on requests and to change those limits when traffic patterns require it.
5. Scope of Services
The company provides six lines of service: foul-poll display retrofits, umpire timer systems, bullpen counters, field light control panels, scoreboard cable runs and spring training timers. The services page describes each line in detail. A service is only confirmed when the parties agree a written scope and a start window.
Descriptions on the website are informative and do not promise a particular outcome for a particular park. Every park has different wiring, different sightlines and a different maintenance history. The written scope prepared after a site walk sets out exactly what the company will do for that park.
6. Quotes and Written Scopes
A quote is valid for thirty days unless it states a different period. A quote is based on the information available at the time, including any site notes and photographs. If the site contains unexpected conditions, such as degraded feeder cable or water damage inside a panel, the company will pause and discuss the difference with the client before proceeding.
A written scope identifies the devices to be installed or repaired, the drawings to be produced, the testing to be performed and the handover records to be delivered. It also identifies any work that is excluded so that the boundary between the company and other trades is clear.
7. Scheduling and Site Access
Project work is scheduled in the order that signed scopes are received, with priority given to safety faults and storm damage. The client agrees to provide safe access to the site, including gate codes, escorts where required and a working power supply for testing. Delays caused by a lack of access may require a new start window and may change the quoted price.
The company will give reasonable notice of each visit and will try to work around game schedules, practices and community events. A park that needs work completed before an opening day should share that date at the first meeting so the schedule can reflect it.
8. Fees and Payment
Fees are set out in the written scope. Unless the scope states otherwise, the company invoices a deposit at booking, a progress amount at the start of installation and a final amount on handover, with payment due within thirty days of each invoice. Travel, lodging, expedited parts and after-hours work are itemized where they apply.
Late payment may incur a service charge at the rate stated on the invoice, or the highest rate permitted by law if no rate is stated. The company may pause work while an invoice remains unpaid. The client is responsible for any tax that applies to the services, except a tax on the income of the company itself.
9. Client Responsibilities
The client agrees to provide accurate information about the site, its electrical system and any known faults. The client agrees to remove or secure loose equipment near the work area, to allow reasonable working hours and to keep unauthorized people away from active electrical work. The client also agrees to give the company access to the control room and the scoreboard where needed.
The client is responsible for any utility shutdown that the work requires, unless the scope says the company will arrange it. Where a permit or inspection is needed, the client and the company will agree in writing who is responsible for obtaining it.
Records kept by the client, such as a lineup card, a maintenance log or a lighting schedule, remain the property of the client. The company may ask to review those records to understand a fault, and it will return them promptly once the review is complete. If a record is needed for the project file, the company will ask for a copy rather than keep the original.
10. Change Orders
If the client asks for additional work or the site requires a change to the agreed scope, the company will describe the change, the effect on the price and the effect on the schedule. Work on a change begins only after the client approves it in writing. A change order becomes part of the project documents once it is approved.
A client may cancel work that has not started with written notice. Cancellation after parts have been ordered may require payment for the non-returnable parts and for time already spent on design.
11. Workmanship Warranty
The company warrants its workmanship for twelve months from handover. If a fault appears in the workmanship within that period, the company will repair it at no charge after a reasonable inspection. The warranty does not cover damage from misuse, storm damage, vandalism, power surges outside normal range, or work performed by another party on the installed system.
Manufacturer warranties on components are passed to the client and the company will help coordinate a claim. The company makes no separate promise about a component beyond the warranty offered by the component maker.
A warranty call begins with a short conversation and, where needed, a visit. If the fault is covered, the company schedules the repair at the next available window and gives priority to a fault that keeps a scoreboard dark or a field light off. If the fault is not covered, the company will explain why in writing and offer a repair quote before any chargeable work begins. Parts replaced under warranty remain with the company for inspection and recycling.
12. Intellectual Property
The website content, including the text, layout and styling, belongs to DC Sox Baseball, Inc. and may not be reused without written permission. Project drawings and cable schedules prepared for a client are licensed to that client for the operation and maintenance of the park. The company keeps its general design methods, details and technical know how and may use them in other projects.
Any feedback you send about the website may be used by the company to improve the service without obligation or payment. You confirm that any feedback you send does not contain confidential information of a third party.
13. Confidentiality
Each party agrees to keep confidential information of the other party private. For the company, this includes client site layouts, gate codes and operating notes. For the client, it includes the company drawings and price information. Confidential information may be shared with a supplier or subcontractor only where needed to complete the project and only under a duty of confidence.
Confidentiality does not apply to information that is public, that the receiving party already held without a duty, or that the law requires the receiving party to disclose.
The duty of confidence continues for three years after a project ends, and it continues longer for information that remains a trade secret under applicable law. On request, each party returns or destroys confidential material it no longer needs, except for a single archive copy kept to prove the terms of the project or to comply with a records rule. That archive copy stays subject to the same duty.
14. Safety and Site Conditions
Ballpark electronics work involves ladders, lifts, live panels and roof access. The company follows safe work practices and asks the client to keep the public away from the work area. If the company finds a condition that cannot be worked on safely, it will stop and report the condition rather than proceed.
The client agrees not to ask a crew member to bypass a safety device or to work on equipment that is not in a safe state. A request of that kind is outside the scope of any project and the crew may decline it.
15. Limitation of Liability
To the fullest extent permitted by law, the company is not liable for indirect, incidental, special or consequential loss arising from the website or the services, including lost revenue, lost gate receipts or lost use of a facility. The total liability of the company for a project is limited to the fees paid by the client for the work giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for injury caused by proven negligence. Some regions do not allow a limitation of certain warranties, so part of this section may not apply to you.
16. Indemnity
The client agrees to indemnify and hold the company harmless against claims arising from the client site, from information the client provided that was inaccurate, or from a use of the delivered system that is contrary to the handover instructions. The company agrees to indemnify the client against claims that the company work infringes the intellectual property of a third party, provided the client notifies the company promptly and allows the company to direct the response.
17. Suspension and Termination
The company may suspend or terminate access to the website, or suspend work on a project, if a client breaches these terms, fails to pay an invoice or creates an unsafe condition. The client may terminate an ongoing relationship with written notice. On termination, the client pays for work completed and for non-returnable parts, and the company returns any client materials it holds.
Sections about intellectual property, confidentiality, limitation of liability and governing law survive termination.
18. Governing Law and Disputes
These terms are governed by the laws of the State in which the company is located, without regard to conflict of law rules. The parties will first try to resolve any dispute through a written discussion and, if that fails, through mediation. If mediation does not resolve the matter, the dispute may be brought before a court of competent jurisdiction in that State.
Before starting a formal process, send a written notice to tech@lopaltech.autos describing the issue and the outcome you seek. Most matters are resolved in that first exchange.
19. General Provisions
These terms form the entire agreement between the parties for use of the website and replace earlier discussions on that subject. If one provision is found to be invalid, the remaining provisions continue in force. A failure to enforce a provision is not a waiver of that provision. The client may not assign a project without written consent of the company. Notices are valid when sent to the email address provided by each party.
The company may use a subcontractor for part of a project, but remains responsible for the quality of the work delivered. The company may also update the website and the service descriptions without prior notice.
Headings in these terms are for convenience only and do not affect the meaning of a section. A reference to a statute includes any replacement statute and the regulations made under it. A reference to writing includes email, and a reference to a signature includes an electronic approval sent from an authorized address. Where these terms use the word including, it means including without limitation, so an example never narrows the general rule it illustrates.
The parties agree to act reasonably and in good faith during the project. Good faith means answering messages promptly, raising a concern as soon as it is known and giving the other party a fair chance to fix a problem. It does not oblige either party to accept a change that would alter the agreed price or schedule without written consent.
20. Contact Information
